    Temporary Recruitment Terms

    Terms of Business for Temporary Staff - Riverbank Recruitment Ltd

    These Terms and Conditions govern the provision of temporary recruitment services by Riverbank Recruitment Ltd (hereinafter referred to as "Riverbank Recruitment") to the Client.

    1. Definitions

    1.1 In these Terms of Business the following definitions apply:

    Assignment
    Means the period during which the Contractor is supplied by the Employment Business to render services to the Client.
    Client
    Means the person, firm or corporate body to whom the Contractor is supplied or introduced.
    Employment Business
    Means Riverbank Recruitment Ltd
    Contractor
    Means the Limited Company introduced to the Client by the Employment Business to carry out an Assignment.
    Engagement
    Means the engagement, employment or use of the Contractor's services directly by the Client or any third party on a permanent or temporary basis.
    Transfer Fee
    Means the fee payable in accordance with the relevant clause below and Regulation 10 of the Conduct of Employment Agencies and Employment Businesses Regulations 2003.
    Remuneration
    Includes fees, guaranteed and/or anticipated bonus and commission earnings, allowances, inducement payments, and all other payments payable to or receivable by the Contractor for services rendered.

    1.2 Unless the context otherwise requires, references to the singular include the plural.

    2. The Contract

    2.1 These Terms constitute the contract between the Employment Business and the Client for the supply of the Contractor's services.

    2.2 These terms contain the entire agreement between the parties and unless otherwise agreed in writing by a Director of the Employment Business, these Terms prevail over any terms put forward by the Client.

    2.3 No variation to these Terms shall be valid unless agreed in writing between the parties.

    3. Charges

    3.1 The Client agrees to pay the hourly charges of the Employment Business. The charges are calculated according to the number of hours worked by the Contractor.

    3.2 The charges are invoiced weekly and are payable within 14 days. The Employment Business reserves the right to charge interest on overdue amounts at 8% per annum above the Bank of England base rate.

    3.3 There are no rebates payable in respect of the charges of the Employment Business.

    4. Timesheets

    4.1 At the end of each week of the Assignment, the Client shall sign the Employment Business's timesheet verifying the number of hours worked.

    4.2 Signature of the timesheet by the Client indicates confirmation of hours worked. Failure to sign does not absolve the Client's obligation to pay charges.

    5. Liability

    5.1 No liability is accepted by the Employment Business for any loss arising from the failure to provide a Contractor or from the negligence, misconduct or lack of skill of the Contractor.

    5.2 Contractors are deemed to be under the direction and control of the Client for the duration of the Assignment.

    6. Transfer Fees

    6.1 In the event of the Engagement of a Contractor within the Relevant Period, the Client shall be liable to pay a Transfer Fee of 15% of the Remuneration applicable during the first 12 months.

    6.2 No refund of the Transfer Fee will be paid in the event that the Engagement subsequently terminates.

    7. Termination

    7.1 Either party may terminate an Assignment by providing reasonable written notice. The Client remains liable for charges incurred up to and including the last day worked.

    8. Governing Law

    These Terms are governed by and construed in accordance with the laws of England and Wales.
